End User Legal Agreement and Terms of Service

This Terms of Service (Terms) is a binding contract between you, an individual user (“you “) and Ecomap Creations Limited (“us” or “we “) governing your use of our Interior Design Services (the “Services “). BY ACCEPTING THE USE OF OUR SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS IF YOU DO NOT AGREE, THEN YOU MAY NOT USE THE SERVICE.

INTRODUCTION

Ecomap Creations Limited is a Lagos based team of creative dedicated to the practice of creating beautiful, functional and – at all times – elegant interior and exterior design. Our diverse, highly motivated team of professionals includes interior designers, architects and project managers.

We are thinkers, dreamers and the doers, and the balance of all of these is ECOMAPCREATIONS.

Our services; we develop emotionally vibrant, psychologically rich Interiors and Exteriors that are as comforting as they are evocative.

Our process couple’s intuition and imagination, so that we manifest extraordinary ideas with remarkable precision, clarity and technical quality from conception and construction to detailed decorative completion.

We also offer consultancy, trainings, project management, and real estate development among other services.

Our aim is to create a space that feels as a natural entity, a space that is a timeless representation that offers room for life and development and grows with you.

GENERAL TERMS

As provided in greater detail in the Terms (and without limiting the express language of the Terms), you acknowledge the following:

1. Materials are to be procured by the Company and not the Clients.
2. You consent to the collection, use, and disclosure of your personally identifiable information in accordance with the Company policy, including with respect to the collection of location information;
3. Disputes arising hereunder will be resolved by binding arbitration.
4. The Service: is a platform enabling people seeking interior design services (“Clients“) to get a custom interior design, including one final design rendering, one revision of the final design rendering, buy list and specifications of each package, based on user comments (Clients are “Users “). The designs will be hereby implemented on the Users Site.
5. Acceptance of Company Policy: Your use of the Service is subject to the Company’s Policy, which is available by email and is hereby incorporated by reference into the Terms. By using the Service, you agree that you have read, understood, and agree to the data collection, use, and disclosure provisions set forth in the Company Policy.
6. Changes to the Terms: We may revise the Terms at any time by sending an updated version. You should visit our website periodically to review the most current Terms, because you are bound by it. Your continued use of the Service after a change to the Terms constitutes your binding acceptance of the Terms.
7. Eligibility: In order to have our full services rendered to you, you have to have made payment of the Consultancy fee which is stated in our charges below.
8. Children: No part of the Service is directed to persons under the age of 16 IF YOU ARE UNDER 16 YEARS OF AGE, PLEASE DO NOT USE OR ACCESS THE SERVICE AT ANY TIME OR IN ANY MANNER.

OUR CHARGES

1. Consultancy:Consultation is giving our expertise advice on identifying and giving solutions to problems on a Client’s Site. Online Consultation is free, but for Offline Consultation, which means the Company coming over to the Client’s site for consultation is a flat rate of:
   • #500,000within Lagos.
   • For outside Lagos state, it is #1,500,000 (which includes transportation by air and feeding) or the Client pays #500,000and handles the transport and feeding of Staff members.
   • For outside Nigeria, it is $5,000.

NOTE: Consultation fee is different from Supervision fee

1. Supervision:On construction sites large and small, supervision has a key role to play in preventing accidents. Typical supervisory functions include planning and allocating work, making decisions, monitoring performance and compliance, providing leadership and building teamwork, and ensuring workforce involvement. The Flat rate for Supervision is #500,000.
2. Project:After the Client and the Company have agreed to start the Project and the quotation has been seen by the Client and approved, 70% of the total amount is to be paid before commencement of work. The balance of 30% is to be paid at the completion of work on site.
3. Designs:If designs are involved with the projects (Floor plans, 3D drawings), a payment of #500,000 – #3,000,000 is to be paid (depending on the size of the project). 50% of the payment is to be made before designs can be made. After corrections and final presentation, complete payment should be made before the Company releases the drawings (Softcopy or/and Hardcopy) to the Client.
4. Refunds:The Service will offer any Client a full refund at Ecomap Creations Limited discretion. Please email to obtain a refund.

All payment is to be made to ECOMAP CREATION LIMITED ACCOUNT NUMBERS, which will be available on request.

CLIENT ELIGIBILITY

1.  Client:To become a client, you must provide your phone number, email address and name. You will also fill a Customer Request Form (to help us determine your preferred design styles), provide us photos of your space, and will have the option to take a short phone call, complimentary, with your assigned designer. The designer will then provide you suggestions for your space as well as a shoppable list of products according to your service package selected.
   1. Fees; Payments.
   2. Fees: The fee (the “Fee“) to be charged to Clients for each Design will be set forth on the Service The Fee is due and payable in advance of Client’s design or product recommendation process.
   3. Payments: The Company does not use third parties to process payments. Payment is to be made directly into Ecomap Creations Account, which will be available on the Payment Invoice sent to you.

iii. Taxes: Clients are responsible for determining and paying the appropriate government taxes, fees, and service charges resulting from a transaction occurring through the Service, except for taxes on Ecomap Creations Limited income on the design service Fee. We are not responsible for collecting, reporting, paying, or remitting to you any such taxes, fees, or service charges, except as may otherwise be required by law.

1. Third Party Purchases: A Client may wish to purchase items from third parties through the Company. Ecomap Creations Limited will collect the cost of the furniture in advance of placing orders with the third party for the purchase. All Third-Party terms and conditions apply to these purchases, including return policies and shipping costs.
2. Sending Messages Through Email
3. Clients are to communicate the Company via official mail (ecomapcreations@gmail.com). You agree that your use of the Service will not include sending unsolicited marketing messages or broadcasts (i.e. spam). Ecomap Creations Limited will utilize any means possible to block spammers and abusers from using the Service. If you believe spam originated from the Service, please email us immediately.
4. Company’s Materials
5. You understand that after the job has been done and completed on site, the Company is entitled to take the remaining materials as long as it was purchased by the Company. However, in a case when it’s a Third-Party Purchase, the Client has the right to claim the leftover materials.
6. Client’s Right: Your right to use the Service is a privilege, not a right, and is expressly conditioned on the following:
7. You can have access to your site at any time.

1. You have the right to call the assigned Designer to you for any changes you want on the site, or any matter relating to the site at any time.
2. You agree not to give instructions directly to the Artisans working on the site, instead you communicate to the Site Supervisor or Designer on whatever you want them to do, the Site Supervisor will relay it to the Artisans if necessary.
   1. Consent to Use of Data: You agree that Ecomap Creations Limited may collect and use personal data and related information, including, but not limited to, choice of colors, personality, and number of kids, profession, age range, and relationship status and so on.
   2. Ownership: The Client remains the Sole Owner of the Project; however, the Company owns the job done, and therefore can take photos of the site or job done at any time, the Company also owns the Pictures taken.
   3. Consequences of Violating These Terms: We reserve the right to suspend or terminate your contract and prevent access to the Service for any reason, at our discretion. We reserve the right to refuse to provide the Service to you in the future. You are responsible for any claims, fees, fines, penalties, and other liability incurred by us or others caused by or arising out of your breach of the Terms and your use of the Service.

   5. Changes to the Service: We may change, suspend, or discontinue any aspect of the Service at any time, including hours of operation or availability of the Service, without notice or liability.

Client Disputes: We are not responsible for any disputes or disagreements between you and any third party you interact with using the Service. This includes disputes between Clients and Third-Party Sellers. You assume all risk associated with dealing with third parties. You agree to resolve disputes directly with the other party. You release Ecomap Creations Limited of all claims, demands, and damages in disputes among users of the Service You also agree not to involve us in such disputes. You understand that Ecomap Creations Limited does not currently conduct background checks, including criminal background checks, on their clients. KEI makes no representations or warranties as to the conduct of Clients. IN NO EVENT WILL THE RELEASED PARTIES (AS DEFINED BELOW) BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER CLIENTS OF THIS SERVICE OR PERSONS YOU MEET THROUGH THE SERVICE. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH OTHER USERS OF THE SERVICE, PARTICULARLY IF YOU MEET OUT OF THE SITE. YOU ASSUME ALL RISK WHEN ENGAGING THE SERVICES OF ANY OTHER USER AND IN CONNECTION WITH USING THE SERVICE,

1. INCLUDING BUT NOT LIMITED TO ANY RISKS ASSOCIATED WITH OBTAINING SERVICES FROM ANY OTHER DESIGNER.
2. Personal Relationships: We take no responsibility for any havoc of a personal relationship between the Client and the Designer or the Artisans may cause. Ecomap Creations Limited does not permit personal relationships between the Client and the Designers or Artisans. We don’t permit Clients taking Designers or Artisans on Dates. Your relations with them is at your own risk.

iii. We make no promises and disclaim all liability of specific results from the use of the Service.

1. Termination: These Terms are effective until terminated by you or Ecomap Creations Limited. Your rights under the Terms will terminate automatically without notice from Ecomap Creations Limited if you fail to comply with any term(s).
2. Disclaimer: “Released Parties”include Ecomap Creations Limited and its affiliates, officers, employees, agents, and partners. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK, AND THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED BY BUSINESSES LISTED ON THE SERVICE, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
4. THE RELEASED PARTIES MAKE NO WARRANTY THAT:

• THE SERVICE WILL MEET YOUR REQUIREMENTS,
• THE SERVICE WILL BE UNINTERRUPTED AND SECURE,
• THE ITEMS GOTTEN FROM THE THIRD-PARTY PURCHASE WILL BE DURABLE AND EFFICIENT,
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED AFTER THE PROJECT HAS BEEN COMPLETED AND HANDED OVER TO THE CLIENT; AND

iii. ANY MATERIAL OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE USE OF ANY SUCH MATERIAL.

1. Limitation of Liability: YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE RELEASED PARTIES WILL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF ITEMS, OR OTHER INTANGIBLE LOSSES (EVEN IF ECOMAP CREATIONS LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:
2. THE USE OR THE INABILITY TO USE THE SERVICE;

THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED ON THE SITE;

1. UNAUTHORIZED ACCESS TO OR ALTERATION OF THE JOB ALREADY DONE;
2. STATEMENTS OR CONDUCT OF ANY USER OR THIRD PARTY ON THE SERVICE;

iii. ANY OTHER MATTER RELATING TO THE SERVICE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN THIS PARAGRAPH MAY NOT APPLY TO YOU.

1. Indemnity: You agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your misuse of the Services rendered. We will provide notice to you promptly of any such claim, suit, or proceeding.
2. Copyright Policy:According to the copyright law of the Federal Republic of Nigeria, copying or alteration of this Policy is prohibited.
3. Dispute Resolution.
4. The Terms and the relationship between you and Ecomap Creations Limited will be governed by the laws of the Federal Republic of Nigeria without regard to its conflict of law provisions. You and Ecomap Creations Limited agree to submit to the personal and exclusive arbitration of any disputes relating to your use of the Service under the rules of the Judicial Laws. Any such arbitration, to the extent necessary, shall be conducted in the Court of Law in the Federal Republic of Nigeria. You covenant not to sue KEI in any other forum.
5. You also acknowledge and understand that, with respect to any dispute with the Released Parties arising out of or relating to your use of the Service or the Terms:
   1. YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY;
   2. YOU ARE GIVING UP YOUR RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING ANY SUCH DISPUTE; AND

• YOU MUST FILE ANY CLAIM WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE OR IT IS FOREVER BARRED.
